These Terms and Conditions ("Terms") govern your use of the IPTRADE software ("Software" or "Service") operated by IPTRADE COPIER LLC ("we", "us", "our" or "the Company").

By downloading, installing, or using IPTRADE, you agree to these Terms. If you do not agree, do not use the Software.

1. Service Description

IPTRADE is a locally-installed Windows software that enables copytrading by:

• Connecting trading platforms (MT4/MT5/cTrader) through bots
• Facilitating trade copying between different trading accounts
• Processing all information locally on your device
• Maintaining IP address consistency for prop firm compliance

Important: IPTRADE does NOT store or transmit your trading data to our servers. All processing is done locally on your computer.

2. License Agreement

We grant you a personal, non-exclusive, non-transferable, and revocable license to use the Software according to your subscription plan.

You may NOT:

• Copy, modify, or distribute the Software
• Reverse engineer or decompile the Software
• Use the Software for illegal activities
• Share your license with third parties
• Use the Software to violate broker or prop firm terms
• Exceed the number of installations allowed by your plan

3. User Responsibilities

Configuration

You are fully responsible for:

• Correct configuration of the Software
• Setting up your trading accounts
• Establishing copytrading parameters
• All trading decisions made

Compliance

You must comply with:

• Local trading and investment laws
• Your broker's terms of service
• Prop firm policies (if applicable)
• All applicable financial regulations

4. Subscription and Billing

Available Plans

• Free Plan: Basic features with limit of 3 trading accounts and fixed lot size of 0.01
• Premium Plan: Enhanced features with limit of 5 trading accounts
• Unlimited Plan: Full access to all features and unlimited trading accounts

Billing Terms

• Payments are charged in advance monthly or annually
• Subscriptions auto-renew at the end of each period
• You can cancel anytime; cancellation takes effect at period end
• No refunds except where required by law

5. Risk Disclaimer

TRADING RISK WARNING

• Trading involves substantial risk of loss
• You may lose more than your initial investment
• Past performance does not guarantee future results
• Only trade with money you can afford to lose
• Trading is not suitable for all investors

IPTRADE COPIER LLC is NOT responsible for:

• Financial losses from using the Software
• User configuration errors
• Connection failures between platforms
• Incorrect trading decisions
• Trading platform malfunctions
• Losses from misuse or misconfiguration of the Software
• User's internet connection failures, instability, latency, or slow speeds
• VPS, server, or hosting failures on the user's side
• Network outages or disconnections affecting trade execution
• Trade execution delays or slippage caused by connectivity issues
• Missed or delayed trades due to user's network problems
• Any losses resulting from hardware or software failures on the user's device

No Investment Advice: IPTRADE does NOT provide investment advice, trading recommendations, market analysis, or financial guidance. We are solely a software tool provider.

Technical Requirements Disclaimer

Internet Connection: The proper functioning of IPTRADE depends entirely on a stable and reliable internet connection. You acknowledge and accept that:

• Trade copying requires constant, uninterrupted connectivity
• We have no control over your internet service provider, network quality, or connection stability
• Latency, packet loss, or disconnections may result in delayed, missed, or incorrectly executed trades
• You are solely responsible for ensuring adequate internet connectivity and hardware requirements
• Using a VPS or dedicated server is recommended but remains your responsibility to configure and maintain

Software Dependencies: IPTRADE relies on third-party trading platforms (MT4, MT5, cTrader) and their APIs. We are not responsible for changes, outages, or malfunctions in these platforms.

6. Limitation of Liability

The Software is provided "as is" without warranties of any kind. In no event shall IPTRADE COPIER LLC be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or use, resulting from the use of the Software.

Our total liability shall not exceed the amount paid for your subscription in the last 12 months.

7. Indemnification

You agree to indemnify and hold harmless IPTRADE COPIER LLC from any claims, damages, or losses resulting from:

• Your use of the Software
• Violation of these Terms
• Violation of laws or regulations
• Your trading activities

8. Force Majeure

IPTRADE COPIER LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Internet or network failures
• Power outages
• Natural disasters or acts of God
• Government actions or regulations
• Broker or trading platform outages
• Third-party service failures
• Cyberattacks or security incidents
• Any other events outside our reasonable control

9. Privacy and Data

Local Processing: All trading data remains on your device. We do NOT store:

• Trade history
• Account balances
• Trading strategies
• Platform credentials

10. Termination

We may terminate or suspend your access if you:

• Violate these Terms
• Fail to pay your subscription
• Use the Software fraudulently

You may terminate your account at any time. Upon termination, you must uninstall the Software.

11. Changes to Terms

We reserve the right to modify these Terms. Changes will be effective upon posting. Continued use constitutes acceptance of changes.
